JS Investments Limited’s appointment of Mr. Ahsan Ahmed as director

Karachi, June 27, 2013 (PPI-OT): In pursuance of our letter FIN-APR-13/1139 dated April 10, 2013, we are pleased to inform you that the appointment of Mr. Ahsan Ahmed as Director of JS Investments Limited (JSIL) has been approved by the Securities and Exchange Commission of Pakistan (SECP), (copy of SECP’s approval is attached herewith).

Appointment of Mr. Ahsan Ahmed as Director on the Board of JS Investments Limited

This refers to your application dated May 02, 2013 and subsequent correspondence on the subject matter.

In this connection, this office has no objection to the appointment of Mr. Ahsan Ahmed as director on the board of JS Investments Limited in terms of Rule 7(2)(aa) of the Non-Banking Finance Companies (Establishment and Regulation) Rules, 2003 to fill the casual vacancy created due to resignation of Mr. Sadeq Sayeed.

We expect that the new director is fully aware of his obligations as director of the Company and would discharge his duties as elaborated in the corporate laws. In this regard, he is advised to re-visit relevant provisions of the Companies Ordinance, 1984 the Securities and Exchange Ordinance 1969, the Non- Banking Finance Companies (Establishment and Regulation) Rules, 2003 as amended through S.R.O.1131(i) 2007 and S. R.O 271(i)/ 2010, Non-Banking Finance Companies and Notified Entities Regulations, 2008 and the Code of Corporate Governance.
