Cherat Cement Company Schedules 43rd Annual General Meeting

Nowshera: Cherat Cement Company Limited has announced the scheduling of its 43rd Annual General Meeting (AGM) for October 16, 2024, to be held in Nowshera, Khyber Pakhtunkhwa, and via video link. This meeting, key to addressing the annual affairs of the company, will also be announced through notices published in the daily Business Recorder and Nawa-e-Waqt on September 24, 2024.

The agenda for the AGM includes the confirmation of the minutes from the previous meeting held on October 25, 2023. According to information available from the Pakistan Stock Exchange (PSX), shareholders are set to review, consider, and adopt the Audited Accounts for the fiscal year ended June 30, 2024, including reports from the directors and auditors.

Further, the meeting will cover the approval of a final cash dividend of 40% (Rs. 4.00 per share), in addition to an interim dividend of 15% (Rs. 1.50 per share) already disbursed. The appointment of M/s. Grant Thornton Anjum Rahman as auditors for the upcoming fiscal year and their remuneration will also be discussed.

Significant to this AGM is the election of eight directors, including reappointments and new nominations, under section 159(1) of the Companies Act, 2017. The AGM will also include special business, such as ratifying transactions with related parties as disclosed in the financial statements and authorizing the board to approve future such transactions for the fiscal year ending June 30, 2025.

All necessary statements pertaining to special business under section 134 of the Companies Act, 2017, have been dispatched to the members along with the notice, ensuring compliance and transparency in corporate governance.
