Javedan Corporation Implements Postal Voting for AGM, Introduces E-Voting

Karachi: Javedan Corporation Limited has announced the adoption of a postal voting system for its upcoming Annual General Meeting (AGM) scheduled on October 26, 2024. The AGM will be held at Karachi, with provisions also made for participation through video conferencing. This move is part of an effort to enhance shareholder engagement and streamline the voting process on key corporate decisions.

In compliance with the Companies (Postal Ballot) Regulations, 2018, the postal ballot will facilitate voting on the election of directors and special business items listed for the meeting. According to information available from the Pakistan Stock Exchange (PSX), this method aims to increase transparency and participation by allowing shareholders to vote remotely.

Javedan Corporation has entrusted M/s. THK Associates (Private) Limited with the responsibility of managing the postal ballot process, while M/s. Reanda Haroon Zakaria Aamir Salman Rizwan and Co. will serve as the scrutineer to ensure the integrity of the voting process. The postal ballots are to be sent to the designated email address provided for the chairman, ensuring that all votes are accounted for in a secure and verifiable manner.

The resolutions under consideration include the election of directors and approvals for transactions with related parties and investments in associated companies, as mandated under various corporate governance and financial regulations. These measures are designed to foster a robust governance framework and promote shareholder trust and confidence in the company’s management and strategic direction.

The company has also made provisions for e-voting, further broadening access and participation in the decision-making process, ensuring that all shareholders, regardless of their location, have the opportunity to partake in the governance of the company.
