Lahore High Court Approves META Company Dissolution Following Merger

Lahore: In a significant corporate restructuring, the Lahore High Court sanctioned the dissolution of META Company without winding up, following the completion of a merger with BBFL as per the approved Scheme of Compromise, Arrangement, and Reconstruction under sections 279 to 283 and 285 of the Companies Act, 2017. The court order was issued on June 26, 2024.

According to the terms of the sanctioned scheme, META’s dissolution occurred immediately after the merger and amalgamation processes were completed, and shares of BBFL were issued to the registered members of META. This step finalizes the merger process, allowing META to dissolve seamlessly without the need for winding up procedures.

According to information available from the Pakistan Stock Exchange (PSX), this corporate maneuver is part of a strategic effort to streamline operations and enhance shareholder value following the merger. The dissolution under such terms is seen as a move to efficiently conclude the integration of META into BBFL, paving the way for a stronger combined entity.

This dissolution, endorsed by the Lahore High Court, marks a critical phase in the companies’ consolidation, setting a precedent for similar corporate actions under the Companies Act.
