Islamabad, Shifa International Hospitals Limited has announced it will host its Extraordinary General Meeting (EGM) on Saturday, June 15, 2024, at the C-0 Auditorium, located in the company’s headquarters at Islamabad.
The agenda includes confirming the minutes of the 37th Annual General Meeting held last October, and the election of ten directors for a three-year term starting June 15, 2024. The retiring directors listed for re-election include Dr. Habib Ur Rahman, Dr. Manzoor H. Qazi, Mr. Muhammad Zahid, and others. Additionally, the meeting will address a special resolution to authorize a further investment of Rs. 1.606 billion in Shifa National Hospital Faisalabad (Pvt.) Limited, a subsidiary, to cover an increase in project costs.
According to information available from the Pakistan Stock Exchange (PSX), the share transfer books of Shifa International Hospitals will remain closed from June 8 to June 15, 2024, to facilitate the proceedings. This closure aligns with the regulatory requirements and preparations for the EGM.
Notices of the meeting will be published in all editions of Business Recorder and Express News on Saturday, May 25, 2024. For shareholders who wish to participate virtually, the company has provided an option to join the meeting via a Zoom link, which will be available from 1055 hours on the day of the EGM until its conclusion. Shareholders are requested to register their intention to join virtually by June 13, 2024.
In compliance with the Companies Act and the Listed Companies (Code of Corporate Governance) Regulations, the election of directors will adhere to specified categories including one female director, three independent directors, and six other directors. Members wishing to nominate themselves for these positions must submit their intentions and comply with the legal requirements by May 31, 2024.
The company has also outlined the procedures for voting on special agenda items and director elections, offering both electronic voting and postal ballot options to accommodate all shareholders.
