Agritech Limited Announces Extraordinary General Meeting for Director Elections

Lahore, Agritech Limited has scheduled an Extraordinary General Meeting (EOGM) for July 22, 2024, at its headquarters in Lahore, as well as via video link. The primary agenda includes the election of seven directors and confirmation of previous meeting minutes.

The company, listed on the Pakistan Stock Exchange, will close its Share Transfer Books from July 16 to July 22, 2024, to finalize the list of members eligible to vote at the EOGM. Share transfers must be received by the end of business on July 15 to be considered timely.

According to information available from the Pakistan Stock Exchange (PSX), the board has fixed the number of directors at seven, as per Section 159(1) of the Companies Act, 2017. The upcoming election categorizes the directors into one female director, two independent directors, and four other directors. If no female candidates are nominated as independent directors, the number for other directors will increase to five.

Candidates interested in running for a director position must submit their intention to the company by July 8, 2024. Requirements include a declaration of compliance with regulatory criteria, consent to act as a director, and a detailed personal profile for the company’s website.

This meeting follows the new regulations mandating electronic and postal voting if the number of candidates exceeds the positions available. Agritech has appointed Corplink Private Limited and Qadeer & Company as service providers to facilitate this process.

In addition to attending in person, members may participate in the EOGM through a video-link, for which they must register in advance. The company has urged shareholders to convert any physical shares to book-entry form, highlighting the benefits such as ease of trading and secure transfer of ownership rights.
