Highnoon Laboratories Announces Director Election Details for Upcoming EGM

Lahore: Highnoon Laboratories Limited has announced the list of candidates set to contest in the forthcoming Extraordinary General Meeting (EGM) for various director positions, as stipulated under Section 159(4) of the Companies Act, 2017. The meeting is scheduled for 02 September 2024 at the company’s registered office in Lahore, Pakistan.

The company has notified that Tehmina Saeed Chaudhury is the sole candidate for the Female Director category, while Tariq Wajid and Romesh Alexander Iddamalgoda Elapata will stand for election in the Independent Director category, where two positions are available. Other Director positions will see a contested election with candidates including Mr. Tausif Ahmed Khan, Dr. Adeel Abbas Haideri, Mr. Taufiq Ahmed Khan, Mr. Tauqir Ahmed Khan, Mr. Ghulam Hussain Khan, and Ms. Sehrish Hussain Khan. A total of four directorships are to be filled in this category.

According to information available from the Pakistan Stock Exchange (PSX), Chaudhury, Wajid, and Elapata are set to be deemed elected automatically as their nominations do not exceed the number of available directorships in their respective categories. The other categories will undergo an election process during the EGM due to the higher number of candidates than available positions.

The profiles of all candidates and their justifications for seeking the positions of independent directors are available for public review on the company’s website. Candidates retain the option to withdraw their nominations anytime before the elections commence. The newly elected directors will serve a term of three years starting from 03 September 2024.
