Amroll Steels Limited Schedules Extraordinary General Meeting for Director Elections

KARACHI: Amroll Steels Limited has announced an Extraordinary General Meeting (EOGM) to be held on July 30, 2024, at the Institute of Chartered Accountants of Pakistan, Karachi, to elect directors and handle other corporate matters. The announcement was published in “The Daily Dawn” and “Daily Express” today, as confirmed by notices in the respective newspapers.

According to information available from the Pakistan Stock Exchange (PSX), shareholders of the company will have the option to participate in the meeting via a video link. This modern approach is in compliance with the Circulars notified by the Securities and Exchange Commission of Pakistan (SECP), facilitating broader participation amidst ongoing digital transformation trends in corporate governance.

The primary agenda for the meeting includes the election of seven directors as predetermined by the company’s board. This comes after the company’s recent submission of an impediment report to the SECP regarding the delay in holding the scheduled elections, originally due on May 6, 2024. The SECP has granted an extension, allowing the elections to occur within 90 days from the due date under the stipulated regulations.

Moreover, the shareholders are required to register for the video link participation by July 27, 2024, ensuring their ability to vote and partake in the meeting’s proceedings remotely. This includes submitting necessary details to the company’s investor relations via email.

The company has also announced the closure of its share transfer books from July 23 to July 30, 2024, to prepare for the EOGM. Transfers completed by July 22 will be acknowledged for voting purposes.
