Karachi, Members of Clover Pakistan Limited were notified of the upcoming election of directors at the Extraordinary General Meeting (EOGM) scheduled to be held in Karachi. According to the notification, eight candidates have filed their intentions to stand for election as directors under the provisions of Section 159(3) of the Companies Act, 2017.
The candidates offering themselves for election include Mr. Shehzad Mohsin and Mr. Nausherwan for the position of Non-Executive Directors, and Mr. Javaid Iqbal as an Executive Director. Ms. Shaista Khan has been nominated for the role of Female Director, and Mr. David Cyril Paul and Ms. Koshak Irum Fazali also aspire to be Non-Executive Directors. Additionally, Mr. Aamir Ozari and Mr. Imran have been nominated as Independent Directors.
According to information available from the Pakistan Stock Exchange (PSX), all candidates shall be deemed elected as the number of nominees does not exceed the number of directorships set by the board under Section 159(1) of the Companies Act, 2017 and Regulation 7A of the Listed Companies (Code of Corporate Governance) Regulations, 2019. The Independent Directors were selected based on their expertise, qualifications, diversity, skills, and knowledge, fulfilling the criteria specified in Section 166 of the Companies Act, and related regulations.
