Karachi, During the Extra Ordinary General Meeting held on July 7, 2023, the shareholders of MCB-Arif Habib Savings and Investments Limited passed significant resolutions, including the confirmation of previous meeting minutes and the approval of a name change for the company.
Under the first resolution, the shareholders confirmed and approved the minutes of the last Annual General Meeting held on February 6, 2023. The Chairman of the meeting was authorized to sign the minutes as a token of confirmation.
The second resolution, considered a Special Resolution, focused on changing the company name from “MCB-Arif Habib Savings and Investments Limited” to “MCB Investment Management Limited.” The shareholders, subject to the approval of the Securities and Exchange Commission of Pakistan under Section 12 of the Companies Act, 2017, agreed to the name change.
Furthermore, the resolution called for the replacement of the name “MCB-Arif Habib Savings and Investments Limited” with “MCB Investment Management Limited” in all instances within the Memorandum and Articles of Association of the company.
To facilitate the name change and ensure compliance, the Chief Executive, Company Secretary, and Chief Financial Officer of MCB-Arif Habib Savings and Investments Limited were jointly or severally authorized. They were granted the authority to prepare, finalize, execute, and file all necessary documents and undertake all required acts, deeds, and actions to give effect to the resolution. This includes completing all necessary corporate and legal compliances and formalities.
