Shareholders Confirm AGM Minutes and Elect New Directors in Pakistan Stock Exchange Listed Company’s EOGM

Karachi, In a significant move that ensures continuity and governance compliance, shareholders of a company listed on the Pakistan Stock Exchange (PSE) have formally ratified the minutes from their previous Annual General Meeting (AGM) and elected new directors during an Extraordinary General Meeting (EOGM) held on March 29, 2024.

During the EOGM, the first order of business was to confirm the minutes of the AGM held on October 27, 2023. The resolution to adopt and confirm these minutes was passed without any dissent, signifying shareholder satisfaction with the previous year’s proceedings and decisions.

Subsequently, the meeting addressed the critical task of electing seven directors for a three-year term commencing on March 31, 2024. The election was necessitated by the retirement of several board members, including Mr. Danish Elahi, Mr. Sohail Ilahi, Mr. Muneer Kamal, Mr. Zeshan Afzal, Ms. Maleeha Humayun Bangash, Ms. Arum Raza, and Mr. Misbah Khalil Khan. In accordance with Section 159 of the Companies Act, 2017, the board had fixed the number of directors at seven.

The candidates who presented themselves for election were Mr. Danish Elahi, Mr. Sohail Ilahi, Ms. Mum Raza, Mr. Zeshan Afzal, Ms. Maleeha Humayun Bangash, Mr. Faisal Nadeem, and Mr. Misbah Khalil Khan. With no additional nominations, these individuals were elected unopposed, reflecting a unified front among shareholders and ensuring a seamless transition of leadership.

The resolution confirming the election of these directors underscored the company’s adherence to statutory requirements and its commitment to upholding best practices in corporate governance.
