Islamabad: SME Leasing Limited will hold its Twenty Second Annual General Meeting (AGM) virtually via Zoom on Monday, July 22, 2024. The AGM will address multiple key issues, including the confirmation of minutes from the previous meeting, adoption of financial statements for 2023, and the appointment of new auditors.
The shareholders will confirm the minutes of the 21st AGM held on January 11, 2024, and review the company’s audited financial statements for the year that ended on December 31, 2023. These documents include reports from both directors and auditors. Furthermore, there will be a motion to appoint M/s. BDO Ebrahim & Co as the company’s auditors for the upcoming fiscal year ending December 31, 2024, with the board recommending their appointment.
According to information available from the Pakistan Stock Exchange (PSX), the AGM will also cover the appointment of auditors and the setting of their remuneration. Additional business may be transacted with the chair’s permission during the meeting.
In compliance with SECP directives, the AGM will be managed from the registered office located at SME Bank Limited, 56-F, Nazim-ud-din Road, F-6/1, Blue Area, Islamabad. This virtual setup aligns with the company’s austerity measures amid the current macro-economic climate, aiming to ensure extensive shareholder participation.
Shareholders listed in the company’s books by the close of business on July 16, 2024, are eligible to attend. They must register at least 48 hours before the AGM via email by providing necessary personal details. The company has also issued guidelines for shareholders to send their comments on AGM agenda items ahead of the meeting.
Proxy attendance and voting rights are also detailed, with shareholders needing to submit their proxy forms at the company’s main office in Karachi no later than 48 hours before the AGM. These arrangements are part of the broader guidelines outlined in the Companies Act, 2017, and other SECP circulars concerning virtual meetings and shareholder communications.
