Tandlianwala Sugar Mills Limited to Hold Extra Ordinary General Meeting for Crucial Shareholders’ Decisions

Karachi, In a significant development, Tandlianwala Sugar Mills Limited has announced that an Extra Ordinary General Meeting (EOGM) of the shareholders will take place on June 22, 2023, in Lahore. The meeting aims to address crucial matters concerning the company’s future, including the confirmation of minutes from the Annual General Meeting held on January 28, 2021, as well as deliberations on special resolutions related to capital increase and alterations in the memorandum and articles of association.

Under the ordinary business section, the shareholders will be requested to review and confirm the minutes of the previous Annual General Meeting. This allows for a comprehensive understanding of the proceedings and ensures accurate record-keeping.

Moving to special business, the shareholders will deliberate on a crucial special resolution concerning the increase in authorized capital and subsequent alterations in the memorandum and articles of association of the company. The proposed resolutions aim to enhance the authorized share capital from Rs. 1,200,000,000/- to Rs. 7,200,020,000/-. The memorandum of association will also be modified to reflect the new figures of Rs. 7,400,000,100/-, while the articles of association will be amended accordingly.

To facilitate the EOGM proceedings, the Share Transfer Books of the company will remain closed from June 16, 2023, to June 22, 2023, inclusive. This closure allows for a temporary freeze on share transfers, ensuring an accurate representation of the company’s ownership during the meeting.
